Saisie de deux appels distincts d’une même ordonnance d’exequatur d’une sentence arbitrale étrangère qui a étendu la clause compromissoire contenue dans un contrat à plusieurs sociétés non-signataires et aux dirigeants personnes physiques des sociétés mises en cause, la CCIP-CA a ordonné la jonction après avoir écarté des débats des pièces communiquées tardivement, en violation du respect de la contradiction.

Rappelant que pour qu’une partie, qu’elle soit une personne physique ou morale, puisse se voir attraire à une procédure arbitrale, il y a lieu de rechercher si le tribunal arbitral est compétent à son égard par l’effet du consentement de cette partie à l’arbitrage, la cour a infirmé l’ordonnance d’exequatur portant sur la sentence litigieuse considérant que n’étaient pas établies en l’espèce l’implication personnelle de ces dirigeants ni leur volonté d’être liés par la clause compromissoire.

In this case, two separate appeals were lodged against the same exequatur order of a foreign arbitral award which extended the arbitration clause contained in a contract to several non-signatory companies and to the managers in person of the companies involved. The ICCP-CA ordered the joinder of the appeals after having excluded from the proceedings the late submissions which were in violation of the adversarial principle.

The court recalled that in order to determine if a party, whether a natural or legal person, can be brought before an arbitral tribunal, it is necessary to determine if that party has given its consent to the arbitration proceedings, thereby giving jurisdiction to the arbitral tribunal. The court overturned the exequatur order relating to the disputed award, considering that neither the personal involvement of the these managers nor their willingness to be bound by the arbitration clause has been established.
